Partnership Agreement between VAVEL and author.
General Conditions:
The relationship between VAVEL.com Media Ltd. Partnership and who agrees to become an author ("Author") of www.vavel.com (the Website) is governed by the terms and conditions described in this Agreement Collaboration.

1. Requirements to qualify as "author"

2. Acceptance of Agreement

3. Obligations of the Parties

4. Warranty and Privacy

5. Minimum

6. Responsibility

7. Integration, modification and assignment of the Agreement
This Agreement and the Terms and Conditions applicable to this entire Agreement between the author and VAVEL come before any oral or written agreement between the parties.
This Agreement shall be binding on the author and may not be assigned by the author without prior written consent from VAVEL, which would have the authority to evaluate and decide positively or negatively about it.
This Agreement shall be binding VAVEL, its successors and assigns.
No modification or suspension of this Agreement shall be binding on either party unless both are explicitly agreed. 8. Termination of Agreement
This Agreement shall remain in force until the end of it by either party, being an essential requirement prior written notice sent by the other party through any of the email addresses provided or by using online tools available to VAVEL authors.
Upon termination of contract, VAVEL continue to exercise the right of publication of the items delivered by the author to date of termination of the contract and is therefore applicable to this Agreement such items.
9. Controversy
In case of disputes arising as a result of this Agreement, the parties undertake to agree to the search of a resolution by mediation in good faith and / or discretion to avoid the filing of appeals or other legal actions in court.
10. Law and Jurisdiction
This Agreement is governed by Ireland law that is applicable.
The parties irrevocably submit to the exclusive jurisdiction of the courts of Ennis (Ireland) for his statement about the issues raised, either in law or equity, arising under this Agreement.

Acuerdo de colaboración entre VAVEL y autor.
Condiciones generales:
La relación de Colaboración entre VAVEL.com Media Ltd. y quien acepta convertirse en autor ("el autor") de www.vavel.com (el Sitio Web), se rige por los términos y condiciones que se describen en el presente Acuerdo de Colaboración.
Mediante la aceptación expresa de este Acuerdo de Colaboración, el autor confirma y ratifica todas las condiciones, derechos y obligaciones que de manera detallada se describen a continuación.
Estas condiciones de colaboración se complementan con las condiciones generales de uso y navegación establecidas para la página web, por la Política de Privacidad así como por cualesquiera otras Condiciones Particulares o específicas de contratación que pudieran fijarse en cada caso.
La aceptación online del Contrato de Colaboración, se hace efectiva el día que por primera vez el usuario visita su cuenta de "autor" en http://www.vavel.com, para lo cual, como requisito indispensable, se ha de ser aceptado primero como autor de VAVEL, previo envío de la solicitud de colaboración que VAVEL tiene disponible en su Sitio Web.
La aceptación como autor conlleva, la confirmación y aceptación de todas y cada una de las Condiciones Generales y puntos contenidos en este Acuerdo de Colaboración, así como, en su caso, de las Condiciones Particulares o específicas que puedan regir la Colaboración.
VAVEL Media Ltd. podrá en todo momento y sin previo aviso, modificar las presentes Condiciones Generales de Colaboración así como las Condiciones Particulares que en su caso se incluyan, comunicando dichas modificaciones mediante la publicación en la página web y/o por email. Al hacerse públicos y notificarse los cambios al autor, si este decide continuar publicando artículos en VAVEL.com después de que los cambios anunciados se hagan efectivos, se dará por hecho que el autor ratifica y acepta los cambios introducidos en el Acuerdo de Colaboración.
El usuario o "autor" puede tener acceso a las Condiciones Generales de uso y navegación de la presente página web mediante el apartado "Condiciones de Uso" al cual se puede acceder directamente a través del link que se incluye en la página principal del Sitio Web www.Vavel.com.
1. Requisitos para tener la condición de "autor"
Para tener la condición de "autor" se requiere:
a) Ser mayor de edad.
b) Completar y enviar correctamente el formulario de solicitud de colaboración disponible en el Sitio Web www.Vavel.com.
c) Ser aceptado como autor por VAVEL.com, hecho que tiene lugar cuando la evaluación de la solicitud de colaboración por parte del equipo editorial tiene un resultado positivo.
d) Aceptar las Condiciones de Uso de VAVEL.
e) Aceptar todos los términos y puntos contenidos en el contrato de colaboración a través de la activación del botón "Acepto" ubicado al final del Acuerdo de Colaboración.
f) Recibir una notificación por email de VAVEL en la que se invita al aspirante a "autor" evaluado con éxito a confirmar el Acuerdo de Colaboración entrando por primera vez en VAVEL con su cuenta de autor (fecha de comienzo de la colaboración).
2. Aceptación del Acuerdo
El Acuerdo de Colaboración se hará efectivo en la fecha (ver punto f del apartado anterior) en que todos los términos y condiciones que regulan la presente colaboración hayan sido expresamente aceptados por la metodología expuesta en apartado anterior.
La aceptación de este Acuerdo conlleva además la declaración por parte del autor de haber leído y comprendido las Condiciones de Uso y manual de estilo del Sitio Web publicadas en el enlace http://www.vavel.com/tos.html ("Condiciones de Uso"), las cuales forman parte del presente Acuerdo, así como la aceptación expresa de dichas Condiciones.
3. Obligaciones de las Partes
El "autor" de VAVEL Media Inc., se compromete a entregar para su publicación en Internet y otros medios electrónicos a VAVEL Media Ltd un número mínimo de artículos originales (los "Artículos"). La cantidad mínima de Artículos a publicar puede variar, según criterios internos de VAVEL. Esta cantidad mínima que todo autor debe publicar será especificada en el Sitio Web.
Dichos Artículos originales deben cumplir con el requisito de no hallarse publicados online y disponibles para su consulta en cualquier otro portal o página de Internet.
El contenido de los "Artículos" será revisado, corregido y editado por el equipo de Redacción de VAVEL.com con el fin de garantizar el mantenimiento de los estándares de calidad propios del portal web de VAVEL, www.VAVEL.com. Asimismo, VAVEL se reserva el derecho de omitir o eliminar cualquier Artículo que, según su criterio, pueda considerarse inapropiado, inexacto, que sea contrario a la ley, a la moral y/o al orden público, y/o que no cumpla con los criterios de calidad y/o estilo del "Sitio Web".
VAVEL tiene el derecho de denegar el acceso al Sitio Web al autor en caso de que éste no cumpla con alguno de los términos establecidos en este Acuerdo.
El autor cede con carácter exclusivo a VAVEL los derechos de propiedad intelectual para la publicación en Internet y en otros medios electrónicos de cada artículo por un periodo de un año a partir de su fecha de publicación, así como el derecho indefinido, ya sin carácter de exclusividad, de publicación electrónica (Internet y otros medios electrónicos) después de transcurrido ese primer año.
El ámbito territorial para la explotación de los derechos cedidos es mundial.
El autor además autoriza expresamente a VAVEL para licenciar la explotación total o parcial de los derechos cedidos en virtud del presente acuerdo a otras páginas y plataformas web y medios electrónicos.
Asimismo, este Acuerdo otorga a VAVEL el derecho de poder utilizar de forma indefinida los Artículos o extractos de los mismos y a hacer uso del nombre del autor, su imagen y su biografía autorizada con el fin de promocionar el Sitio Web a través de cualquier medio o soporte material.
En el caso de que el autor decidiera publicar los Artículos, con o sin modificaciones o adaptaciones, en otras páginas web o medios electrónicos una vez transcurrido (1) año de su publicación en VAVEL, el autor acepta y se compromete a citar expresamente a VAVEL.com, como Editor original del Artículo. Además de dicha mención, se tendrá que incluir en todas y cada una de las versiones del Artículo subidas a diferentes páginas web o medios electrónicos, un hipervínculo al artículo original publicado en VAVEL.com.
4. Garantía y confidencialidad
El autor garantiza la originalidad de los Artículos, así como la ostentación de la titularidad de los derechos de autor y de publicación en Internet y en otros medios electrónicos de dichos Artículos y el requisito indispensable de que estos Artículos no estén publicados simultáneamente en Internet o en otros medios electrónicos.
El autor será el único responsable frente a las reclamaciones que puedan ser formuladas por terceros sobre el contenido y/o propiedad de los Artículos, así como por los daños y/o perjuicios que puedan causarse por los mismos motivos a VAVEL, empresas del mismo grupo, socios, directores, trabajadores, autores y cualesquiera otras personas que forman parte o estén asociadas a la misma.
El presente Acuerdo exime a VAVEL de la garantía del acceso inmediato, constante e indefinido a los Artículos del autor.
Queda suscrito explícitamente en este Acuerdo que VAVEL no está obligada a mostrar, hacer copias de seguridad o a archivar los Artículos del autor en el Sitio Web.
El autor declara conocer y aceptar el carácter confidencial de toda la información que a través de cualquier vía le sea suministrada por VAVEL. Dado su carácter confidencial, dicha información no podrá ser divulgada en ningún momento, ni por ninguna razón o medio a persona o entidad alguna, salvo por las causas legalmente previstas. Esta información confidencial incluye pero no se limita a: diseño del Sitio Web, documentación, estudios, procedimientos, calendarios de comercialización, estrategias, planes de desarrollo, comunicaciones internas, estadísticas, comunicaciones, y demás información financiera, operativa, técnica y de negocio.
5. Requisitos mínimos
Para que el autor pueda seguir teniendo acceso al Sitio Web, debe contribuir al mismo con un mínimo de Artículos. Para más información sobre este punto, ver apartado 3 de este Acuerdo de Colaboración ("Obligaciones de las Partes").
6. Responsabilidad
El autor tiene la responsabilidad y exime de cualquier responsabilidad a VAVEL, así como a sus representantes, directores, empleados, agentes y socios, ante cualquier reclamación o demanda interpuesta en relación con los Artículos remitidos a VAVEL que puedan incurrir en un delito de difamación o infrinjan los derechos de cualquier persona física o jurídica, incluyendo pero no limitándose a los derechos de autor, propiedad intelectual, propiedad industrial, otros derechos personales u obligaciones de confidencialidad para con cualquier otra persona, y de cualquier reclamación de terceras partes resultante de fraude o abuso fraudulento de clics por parte del autor.
7. Integración, modificación y cesión del Acuerdo
Este Acuerdo y los Términos y Condiciones aplicables a la totalidad de este Acuerdo entre el autor y VAVEL se anteponen a cualquier acuerdo oral o escrito entre las partes.
Este Acuerdo será vinculante para el autor y no puede ser cedido por el autor sin el consentimiento previo por escrito por parte de VAVEL, que tendría la potestad de evaluar y decidir positiva o negativamente al respecto.
Este Acuerdo será vinculante para VAVEL, sus sucesores y cesionarios.
Ninguna modificación o suspensión de este Acuerdo será vinculante para cualquiera de las partes a menos que ambas estén explícitamente de acuerdo. En caso de que VAVEL realizara modificaciones a este Acuerdo, el autor será notificado inmediatamente a través del propio Sitio Web y/o por email. De continuar el autor suministrando Artículos a VAVEL tras haberse hecho efectivo los cambios, se considerará que el autor ha aceptado la transformación del Acuerdo.
8. Extinción del Acuerdo
El presente Acuerdo seguirá en vigor hasta la finalización del mismo por alguna de las partes, siendo como requisito imprescindible el previo aviso enviado por escrito a la otra parte, a través de alguna de las direcciones de correo electrónico facilitadas o mediante las herramientas telemáticas disponibles para los autores de VAVEL.
En caso de finalización de contrato, VAVEL seguirá ejerciendo el derecho de publicación de los Artículos entregados por el autor hasta la fecha de la terminación del contrato, siendo por tanto el presente Acuerdo aplicable a dichos Artículos.
9. Controversia
En caso de litigios surgidos con motivo de este Acuerdo, las partes se comprometen a convenir la búsqueda de una resolución por mediación de buena fe y/o arbitrio que evite la interposición de recursos u otras acciones legales ante los tribunales.
10. Ley aplicable y jurisdicción
El presente Acuerdo se rige por la legislación irlandesa que resulte de aplicación.
Las partes se someten irrevocablemente a la jurisdicción exclusiva de los tribunales de la provincia de Ennis (Irlanda) para su pronunciamiento acerca de las cuestiones planteadas, ya sea en derecho o equidad, derivadas de este Acuerdo.
